CODE OF ETHICS

Micro-Optics Precision Instruments, Inc. (or Micro-Optics) requires that its employees and officers manifest and practice the highest standards of business ethics and integrity.


Micro-Optics further requires that all employees and officers comply with all laws, rules and regulations applicable to Micro-Optics wherever it does business.

In addition to adherence to governmental laws, Micro-Optics periodically adopts its own policies and procedures. As in the case of laws and regulations, all employees and directors are also required to comply with the internal company policies and procedures.

All directors, officers and employees are required to avoid any relationship with other individuals or organizations that might impair, or even appear to impair, the proper performance of their company-related responsibilities.

Employees are expected to give their full and undivided attention to their company duties. The use of company facilities or assets to carry on a private business or profession is strictly prohibited. Employees shall not engage in a profit-making business, or become involved with a nonprofit organization, outside of their employment with the company, if such business or organization competes in any manner with Micro-Optics, aids any competitor of Micro-Optics, or impedes or impairs the employee’s ability to perform his or her tasks.

No employee shall have a financial interest in a competitor, customer or supplier of the company.

Micro-Optics employees, officers, and any of their relatives, may not accept or request money or anything of value from any government officials, customers, suppliers or others with whom the company does business, has done business, or may have occasion to do business.

No employee or officer may offer an incentive of any type to foreign or domestic government officials or agents in the hopes of influencing that individual.

Political contributions to U.S. federal election campaigns made from company funds are prohibited.

Employees and officers are expected to maintain the confidentiality of proprietary information (defined as nonpublic information from which Micro-Optics or other third party derives value) or skills entrusted to and taught to them by Micro-Optics. Unauthorized disclosure of any confidential information is prohibited.

The safety and health of our employees and the public are of prime importance. All employees are expected to know the safety rules pertaining to their job assignments, and to comply with these rules in the performance of their jobs.

Micro-Optics does not tolerate any employees, officers or directors becoming impaired by alcohol either before or during any work-related activity.

Micro-Optics will not tolerate the use of illegal drugs or other mind-altering substances by any employee or officer during any work-related activity.

Persons are also prohibited from possessing, using, selling or purchasing illegal drugs or other mind-altering substances on company property, in company vehicles and on company business.

Micro-Optics will not tolerate any level of violence or harassment of any type in the workplace or in any work-related setting.

Subject to applicable law, Micro-Optics reserves the right to inspect employees, their personal possessions and property, and cars, if or when they are used for company business. This includes lockers, desks, file cabinets, workstations, computers, voice mail and office e-mail. Such searches may be conducted any time, without advance notice.
